1. Acceptance of terms

By accessing or using DeltaPro Construction Management (“DeltaPro,” “the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms apply to all users, including free trial users, and paid subscribers.

2. Description of service

DeltaPro is a cloud-based construction management platform that provides tools for estimates, job tracking, extras, client invoicing, team management, and AI-assisted workflows. Features available to you depend on your subscription tier.

3. Accounts and eligibility

You must be at least 18 years old and legally able to enter into a contract to use DeltaPro.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.
Each account may only be used by one organization. Sub-accounts (team members) are managed within that organization.
You must provide accurate and complete information when creating your account.

4. Free trial

New accounts may receive a 14-day trial without a credit card. No subscription charge occurs unless you choose a paid subscription. If you add a subscription during an active trial, checkout shows when billing begins and the recurring price. Cancel before that date to avoid the first charge. We reserve the right to modify or discontinue the free trial offer at any time.

5. Subscription and billing

Paid subscriptions are billed monthly in advance.
All fees are in US dollars and are non-refundable except as required by law or stated otherwise.
We may change pricing with 30 days’ notice. Continued use after a price change constitutes acceptance.
Payments are processed by Stripe. By subscribing, you agree to Stripe’s terms of service.
Failed payments may result in service interruption. We will notify you before suspending access.

6. Cancellation

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access until then. We do not provide refunds for partial billing periods.

7. Acceptable use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws.
Upload or transmit harmful, offensive, or malicious content.
Attempt to gain unauthorized access to DeltaPro systems or other users’ accounts.
Reverse engineer, decompile, or attempt to extract source code from the Service.
Use the Service to compete with DeltaPro or build a substantially similar product.
Interfere with or disrupt the integrity or performance of the Service.
Resell or sublicense the Service without our written consent.

8. Your data and content

You retain all rights to the data and content you upload to DeltaPro (“Your Content”). By using the Service, you grant us a limited license to store, process, and display Your Content solely to provide the Service to you. We do not claim ownership of Your Content and will not use it for any purpose other than operating the Service.

9. AI-generated content

DeltaPro uses AI to assist with bid generation, document analysis, and other features. AI-generated content is provided for informational purposes only. You are solely responsible for reviewing, verifying, and using any AI-generated output. DeltaPro does not guarantee the accuracy, completeness, or fitness for any particular purpose of AI-generated content.

10. Intellectual property

DeltaPro and its original content, features, and functionality are owned by DeltaPro Construction Management and are protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks or branding without prior written consent.

11. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. DeltaPro is not a licensed contractor, accountant, or legal advisor, and nothing in the Service constitutes professional advice.

12. Limitation of liability

To the fullest extent permitted by law, DeltaPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold DeltaPro harmless from any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow you to export it, after which it may be deleted.

15. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Delaware.

16. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance.
